This Student Non-Disclosure Agreement (the "Agreement") is entered into between the participating companies (hereinafter referred to as "Companies") and the students ("Students") participating in job shadowing opportunities facilitated through Shadow the Life ("Company").
By creating an account on Shadow the Life or participating in any job shadowing opportunity, you (the Student) agree to the terms and conditions of this Student Non-Disclosure Agreement, which governs the confidentiality of certain information disclosed by the Companies during the job shadowing experiences.
1. Confidential Information: During the course of the job shadowing experiences, the Companies may disclose certain confidential and proprietary information to the Students. Confidential information includes, but is not limited to, trade secrets, business strategies, customer data, technical data, financial information, proprietary software, and any other information not publicly available ("Confidential Information").
2. Obligations of the Student: The Students acknowledge that the Confidential Information disclosed by the Companies is valuable and proprietary. The Students agree to maintain the strictest confidentiality and not disclose, reproduce, or use any Confidential Information for any purpose other than the specific job shadowing experience they are participating in. The Students shall not use the Confidential Information to compete with the Companies or for any other unauthorized purposes.
3. Non-Disclosure and Non-Use: The obligations of confidentiality and non-use set forth in this Agreement shall continue beyond the conclusion of each job shadowing experience and shall remain in effect for as long as the Confidential Information retains its confidential status.
4. Exclusions from Confidentiality: The obligations of confidentiality and non-use shall not apply to information that is:
a. Already known to the Student at the time of disclosure, as evidenced by written records;
b. Publicly available or becomes publicly available without breach of this Agreement;
c. Independently developed by the Student without reference to the Confidential Information;
d. Received from a third party who has the right to disclose it without restriction; or
e. Required to be disclosed by law, regulation, or court order, provided that the Student provides prompt notice to the Companies to allow them to seek a protective order.
5. Return of Information: Upon the Companies' request or upon the termination of each job shadowing experience, the Students shall promptly return or, at the Companies' option, destroy all copies of the Confidential Information in their possession or control.
6. Non-Solicitation: During each job shadowing experience and forever after its conclusion, the Students agree not to solicit, entice, or hire any employees, contractors, or business partners of the Companies.
7. Non-Disparagement: The Students agree not to make any disparaging statements or comments about the Companies, their employees, or their services during or after each job shadowing experience.
8. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Texas. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bexar County, Texas.
9. Modification of Agreement: Shadow the Life reserves the right to modify, amend, or update this agreement at any time without prior notice. Any changes to this agreement will be posted on this page, and the "Last Updated" date at the top of this page will reflect the date of the latest revisions. Users are encouraged to review this page regularly to stay informed about any changes. By continuing to use Shadow the Life after any modifications to this agreement, you acknowledge and agree to be bound by the revised terms.
10. Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
