Parties: This School Grant Company Access and Liability Agreement ("Agreement") is made and entered into between the educational institution ("School") and Shadow the Life, a job shadowing marketplace website ("Shadow the Life"), collectively referred to as the "Parties."
Background: Shadow the Life operates an online job shadowing marketplace that connects students seeking job shadowing opportunities with companies offering such opportunities. In order for a company to join the Shadow the Life platform, they must be granted access by a school that has already joined. This access is granted by the School after conducting its own vetting process to ensure the safety and legitimacy of the company.
Terms and Conditions:By joining Shadow the Life or granting access to a company on the Shadow the Life website, the School agrees to the following terms and conditions:
1. Vetting Process: The School agrees to perform its own thorough vetting process to assess the safety and legitimacy of the company before granting them access to the Shadow the Life platform. This vetting process may include, but is not limited to, verifying the company's contact information, checking for any criminal records, and obtaining references from other schools or organizations that have worked with the company in the past.
2. Assumption of Liability: The School acknowledges that it assumes full responsibility and liability for its decision to grant access to the company on the Shadow the Life platform.
3. Indemnification:The School agrees to indemnify and hold harmless Shadow the Life, its officers, directors, employees, and agents, from and against any and all claims, actions, suits, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable attorney fees) arising out of or related to a job shadowing facilitated through the Shadow the Life platform.
4. No Guarantee of Safety: The School understands and acknowledges that Shadow the Life does not guarantee the safety or legitimacy of any company on its platform. Shadow the Life serves as an intermediary to connect students and companies but does not endorse or warrant the suitability of any company for job shadowing opportunities. The School acknowledges and agrees that Shadow the Life is not responsible for any damages, harm to students, or liabilities arising from a job shadowing experience facilitated through Shadow the Life. The School further agrees not to hold Shadow the Life liable or sue Shadow the Life for any such damages, harm to students, or liabilities. The School assumes full responsibility for vetting companies when granting access to job shadowing opportunities and acknowledges that the safety and well-being of the participating students are solely the responsibility of the School and the company hosting the job shadowing.
5. Compliance with Laws: The School agrees to ensure that its vetting process and granting of access to companies on the Shadow the Life platform comply with all applicable laws, regulations, and industry standards.
6. Termination of Access: The School reserves the right to terminate a company's access to the Shadow the Life platform at any time if it becomes aware of any safety concerns, illegitimate activities, or violations of an Agreement with the company. In order to initiate the termination process, the School must send an email to armando.shadowthelife@gmail.com, providing a clear and detailed explanation of the reasons for terminating the company's account. Upon receiving the email, Shadow the Life will promptly review the provided information and take appropriate actions to terminate the company's access as warranted. The decision to terminate a company's access shall be at the sole discretion of Shadow the Life.
7. Modification of Agreement: Shadow the Life reserves the right to modify, amend, or update this agreement at any time without prior notice. Any changes to this agreement will be posted on this page, and the "Last Updated" date at the top of this page will reflect the date of the latest revisions. Users are encouraged to review this page regularly to stay informed about any changes. By continuing to use Shadow the Life after any modifications to this agreement, you acknowledge and agree to be bound by the revised terms.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be exclusively brought in the state or federal courts located in Bexar County, Texas, and the Parties hereby consent to the personal jurisdiction of such courts.
Entire Agreement: This Agreement constitutes the entire understanding and agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous negotiations and discussions, whether oral or written.
By joining Shadow the Life or granting access to a company on the Shadow the Life platform, the School acknowledges that it has read, understood, and agrees to be bound by the terms and conditions of this Agreement.
